01About These Terms
These Terms & Conditions ("Terms") are an agreement between you and Thinkersteps Technologies LLC, a company registered in the United Arab Emirates with its office in Sharjah ("Thinkersteps", "we", "us" or "our"). "You" means the person or business using our website or services.
These Terms cover your use of:
- our website at jewelsteps.com;
- the JewelSteps™ jewelry management software, including the web, desktop and mobile apps (the "Software"); and
- related services such as demos, free trials, setup, onboarding, support and maintenance (together with the Software, the "Services").
By using our website or Services, you agree to these Terms. If you use the Services on behalf of a business, you confirm that you are authorised to accept these Terms for that business. If you do not agree, please do not use our website or Services.
Your use of the Software is also governed by our End User License Agreement (EULA). Our Privacy Policy and Refund Policy form part of these Terms. If these Terms and the EULA conflict about the software license itself, the EULA applies.
02Using Our Website
The content on our website, including feature descriptions, guides, blog posts and videos, is provided for general information. We work to keep it accurate and up to date, but features, prices and availability can change, and website content is not a binding offer. Your plan, quote or invoice confirms what you are buying.
Our website uses cookies to make certain features work and to understand how visitors use the site. Some of our analytics and advertising partners may also use cookies. You can read more in our Privacy Policy.
03Free Trial & Demo
We offer a 7-day free trial so you can test real billing and inventory workflows on your own catalogue, and a live demo with our team before you buy. The trial and demo are for evaluation only. During a trial, some features or limits may differ from a paid plan, and the trial is provided "as is" without any commitment of support, uptime or data retention.
We may change, limit or end the free trial offer at any time. Taking a trial does not oblige you to buy anything.
04Plans, Pricing & Payment
Current plans and prices are listed on our Pricing page:
- Standard plan: a one-time license fee for the JewelSteps Software, including setup and onboarding, followed by the yearly AMC described in Section 5.
- Custom plan: for multi-store chains, manufacturers, wholesalers or tailored workflows. Scope and price are agreed in writing in a quote before work begins.
Prices are in US Dollars (USD) unless your quote or invoice states otherwise, and do not include applicable taxes such as VAT, which are added where the law requires. Payment is due as stated on your quote or invoice. We may pause onboarding, support or account access while a payment is overdue.
We may change our prices for future purchases. A price change does not affect a fee you have already paid.
05Annual Maintenance Contract (AMC)
The AMC is 15% of your one-time license cost, billed yearly, starting after your first year. It covers ongoing support, software updates and maintenance, which are provided while your AMC is active.
Each AMC period is paid in advance. Once an AMC renewal is billed, it covers that year's support, updates and maintenance and is non-refundable.
06Refunds
All sales are final. We do not refund the one-time license fee or AMC payments once a purchase has been made, because setup, configuration and onboarding work starts as soon as you buy.
This is why we offer the free trial and live demo first. If you are charged twice or billed incorrectly, contact us and we will correct it. Full details are in our Refund Policy.
07Hardware & Third-Party Services
Our prices cover the JewelSteps Software only. Hardware is not included. This includes RFID readers and handhelds, barcode and label printers, weighing scales and other devices. Hardware is bought separately, from us or from a supplier, and is covered by its manufacturer's warranty and terms. We are not responsible for defects in third-party hardware.
The Software can connect with third-party services such as accounting software (for example Tally and QuickBooks), WhatsApp and email messaging, and payment providers. Your use of those services is governed by their own terms. We are not responsible for their availability, pricing or changes, and an integration may stop working if a third party changes or withdraws its service.
08Accounts & Security
To use the Software, you and your staff will have user accounts. You are responsible for:
- keeping login details confidential and not sharing accounts between people;
- all activity that happens under your accounts, including by your staff;
- giving us accurate business and contact information; and
- telling us promptly if you suspect unauthorised access to your account.
09Acceptable Use
You may use the Services only for your own lawful business operations. You must not:
- resell, sublicense, rent or share the Software with another business;
- copy, modify, reverse engineer or decompile the Software, except where the law expressly allows it;
- try to gain unauthorised access to the Services, other customers' data or our systems;
- upload malware or anything that disrupts or overloads the Services;
- use the Services for fraud, money laundering, or any other illegal activity; or
- use the Services or our content to build a competing product.
10Your Data
The business data you enter into the Software, such as customer records, inventory, invoices and orders ("Your Data"), remains yours. You give us permission to store and process Your Data only as needed to provide, support and improve the Services, as described in our Privacy Policy.
You are responsible for Your Data and for having the right to use it. For example, you should have your customers' consent before sending them WhatsApp or email messages through the Software. We take reasonable steps to protect Your Data, but no online system is completely secure, so we also recommend you keep your own exports of important records.
11Intellectual Property
The Software, website and all related content, including code, designs, text, graphics, videos and documentation, are owned by Thinkersteps Technologies LLC or its licensors and are protected by copyright, trademark and other intellectual property laws. Buying a license gives you the right to use the Software under the EULA. It does not transfer ownership.
Unless we give you written permission, you must not republish, sell, rent, sub-license, reproduce, copy or redistribute material from our website or Software.
If you send us suggestions or feedback, we may use them to improve our products without any obligation to you.
12Trademarks
JewelSteps™ and the JewelSteps logo are trademarks of Thinkersteps Technologies LLC. You may not use the JewelSteps name or logo, including in domain names, ads, social media handles or product names, without our prior written permission.
All other product names, logos and brands shown on this website, such as trade show logos and third-party app names, belong to their respective owners. Showing them does not imply endorsement.
13Links, Framing & Comments
Linking to us. You may link to our website as long as the link is not misleading, does not suggest we sponsor or endorse you, and fits the context of your site. You may not use our logo or other artwork in a link without a trademark license agreement. We may ask you to remove a link to our website at any time, and you agree to do so promptly.
Framing. You may not display our web pages inside a frame, or in any other way that changes how our website looks, without our prior written permission.
Links to other websites. Our website may link to third-party sites. We do not control them and are not responsible for their content or practices.
Comments. Where our website lets you post comments, they reflect the views of the person who posted them, not ours. By posting, you confirm you have the right to post the content, that it does not infringe anyone's intellectual property, and that it is not defamatory, offensive, unlawful or promotional. You give us a non-exclusive license to use, reproduce and edit your comments in any format. We may remove any comment at our discretion.
14Service Availability & Changes
We work to keep the Services available and reliable, but we do not guarantee they will be uninterrupted or error-free. We may need to pause access briefly for maintenance, updates or reasons outside our control, such as internet, hosting or third-party outages.
We regularly improve the Software and may add, change or remove features. We will not deliberately remove a core feature you depend on without good reason.
15Disclaimers
Apart from what is expressly stated in these Terms or a signed agreement with you, the Services and website are provided "as is" and "as available". To the maximum extent permitted by law, we exclude all other warranties, whether express or implied.
The Software is a tool to help run your business. Where it shows market rates (such as gold and silver prices), tax calculations or reports, you remain responsible for checking final prices, invoices, accounts and tax filings, and for complying with the laws that apply to your business.
16Limitation of Liability
To the maximum extent permitted by law, Thinkersteps Technologies LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business, goodwill or data, arising from your use of, or inability to use, the website or Services.
Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the 12 months before the claim arose.
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited or excluded under applicable law.
17Indemnity
You agree to defend and compensate Thinkersteps Technologies LLC against claims, losses and costs, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Services, Your Data, or content you publish that links to or references our website.
18Suspension & Termination
You may stop using the Services at any time. We may suspend or end your access if you seriously or repeatedly breach these Terms or the EULA, fail to pay amounts due, or use the Services in a way that puts us, other customers or the law at risk. Where it is reasonable, we will give you notice first so you can fix the issue.
When your access ends, your right to use the Software ends too, as set out in the EULA. Fees already paid are not refundable. Sections that by their nature should continue, such as intellectual property, disclaimers, limitation of liability, indemnity and governing law, survive termination.
19Governing Law & Disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict-of-law principles, consistent with our EULA. If a dispute arises, please contact us first so we can try to resolve it informally. If it cannot be resolved that way, the competent courts of the United Arab Emirates will have jurisdiction.
20Changes to These Terms
We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page, and for significant changes we will make reasonable efforts to notify existing customers. If you keep using the website or Services after an update, you accept the updated Terms.
