01About This Agreement
This End User License Agreement ("Agreement") is a legal contract between you, the business or person using the software ("you"), and Thinkersteps Technologies LLC, a company registered in the United Arab Emirates ("Thinkersteps", "we", "us" or "our").
It covers the JewelSteps™ jewelry management software, including the web, desktop and mobile apps, any updates we provide, and related documentation (the "Software").
By clicking "I Agree", or by installing, accessing or using the Software, you agree to this Agreement. If you accept it on behalf of a business, you confirm that you are authorised to do so. If you do not agree, do not install or use the Software.
This Agreement works together with our Terms & Conditions, which cover pricing, payment, refunds and our wider services, and our Privacy Policy. If they conflict about the software license itself, this Agreement applies.
02License Grant
Subject to this Agreement and payment of the applicable license fee, Thinkersteps grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your own internal business operations in the jewelry industry.
The scope of your license, such as your plan and the number of stores or branches covered, is set out in your quote, order or invoice. The license starts when your license fee is paid and continues until it ends under Section 11. During a free trial, you receive a temporary license for evaluation only.
This license gives you the right to use the Software. It does not transfer ownership of the Software to you.
03License Restrictions
You agree not to, and not to allow anyone else to:
- distribute, sublicense, lease, rent, sell or otherwise transfer the Software to any third party;
- use the Software for another business, or beyond the scope of your license;
- copy, modify, translate or create derivative works based on the Software, in whole or in part;
- reverse engineer, decompile or disassemble the Software, except where the law expressly allows it;
- bypass or interfere with any license key, user limit or security feature;
- remove or change any copyright, trademark or other proprietary notice in the Software;
- use the Software to build a competing product; or
- use the Software for any unlawful or unauthorised business practice, including fraud or money laundering.
04Authorised Users
You may allow your employees and staff ("Authorised Users") to use the Software on your behalf. You are responsible for their use of the Software and their compliance with this Agreement.
Each Authorised User should have their own login. Keep login details confidential, and tell us promptly if you suspect anyone has gained unauthorised access to your account.
05Ownership & Trademarks
The Software, including its code, design, features, documentation and all upgrades, updates and modifications, is owned by Thinkersteps Technologies LLC or its licensors and is protected by copyright, trademark and other intellectual property laws. All rights not expressly granted to you in this Agreement are reserved by Thinkersteps.
JewelSteps™ and the JewelSteps logo are trademarks of Thinkersteps Technologies LLC. This Agreement does not give you any right to use them, except as needed to identify the Software within your business.
If you send us suggestions or feedback about the Software, we may use them freely to improve our products.
06Your Data & Privacy
The business data you store in the Software, such as inventory, invoices and your customers' details ("Your Data"), remains yours. Owning the license to the Software does not give us ownership of Your Data.
We collect and use information as described in our Privacy Policy, including the technical and usage data needed to run, secure and improve the Software. You are responsible for having the right to store and use Your Data, including any consent your customers need to give before you message them through the Software.
07Updates, Support & AMC
Software updates, support and maintenance are included for the first year after purchase, and continue for as long as your Annual Maintenance Contract (AMC) is active. AMC fees and terms are described in our Terms & Conditions and on our Pricing page.
Updates we provide are part of the Software and are covered by this Agreement. We may add, change or remove features over time to improve the Software, keep it secure or meet legal requirements.
08Hardware & Third-Party Services
Your license covers the Software only. Hardware such as RFID readers, barcode and label printers and weighing scales is not included, and is covered by its manufacturer's warranty and terms.
The Software may connect with third-party services, such as accounting software, WhatsApp, email and payment providers. Those services are governed by their own terms, and we are not responsible for them. Our mobile apps are distributed through the Apple App Store and Google Play, whose terms also apply to your download and use of the apps.
09Warranty Disclaimer
To the maximum extent permitted by law, the Software is provided "as is" and "as available", and we exclude all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Software will be uninterrupted or error-free.
The Software helps you run your business, but you remain responsible for checking final prices, market rates, invoices, accounts and tax filings, and for complying with the laws that apply to your business.
10Limitation of Liability
To the maximum extent permitted by law, Thinkersteps Technologies LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, business interruption or loss of data, arising out of or in connection with your use of, or inability to use, the Software.
Our total liability for any claim relating to the Software is limited to the amount you paid us for it in the 12 months before the claim arose. Nothing in this Agreement limits liability that cannot be limited under applicable law, such as liability for fraud.
11Termination
This Agreement is effective until terminated. Your rights under it end automatically if you fail to comply with any of its terms, and we may also end your license if you fail to pay amounts due.
When this Agreement ends, you must stop using the Software and uninstall it from all your devices. Fees already paid are not refundable. If you need a copy of Your Data, please contact us before your access ends. Sections 5, 9, 10 and 12 continue to apply after termination.
12Governing Law
This Agreement is governed by and interpreted under the laws of the United Arab Emirates, without regard to conflict-of-law principles. If a dispute arises, please contact us first so we can try to resolve it informally. If it cannot be resolved that way, the competent courts of the United Arab Emirates will have jurisdiction.
13Changes to This Agreement
We may update this Agreement from time to time. When we do, we will change the "Last updated" date at the top of this page, and for significant changes we will make reasonable efforts to notify existing customers. If you keep using the Software after an update, you accept the updated Agreement.
